Constitution
1. NAME
The name of the organisation shall be SPORTS COUNCIL FOR GLASGOW (hereinafter referred to as the Sports Council)
2. OBJECTS
The objects of the Sports Council shall be:
§ To encourage Glasgow citizens of all ages and in all communities, to participate in sport and related physical activities and through this to live healthy lifestyles.
§ To provide a unified & independent voice for member sports clubs and organisations, with the ability to influence across key partnerships with public and private bodies, to improve sports experience across Glasgow.
§ To assist members to develop their clubs and organisations through facilitating programmes and services, including provision of specific grants, addressing their particular needs.
§ To facilitate consultation on national and local sports related policies and strategies impacting on local communities and sports clubs and to influence the implementation of relevant strategies and plans concurrent with Sports Council objectives.
§ To provide an award scheme to acknowledge the efforts, contributions and achievements of member clubs, organisations and individuals directly concerned with sport and related physical activities within Glasgow.
§ To pursue grants and awards to support the achievement of these objectives.
§ The Sports Council shall be non-political, non sectarian and non-denominational.
3. AFFILIATION
All clubs, organisations and individuals directly concerned with sport and related physical activities within Glasgow may apply for affiliation to the Sports Council, subject to agreeing to abide by any rules which may be made by the Sports Council. The Sports Council shall retain the right to reject any application or defer affiliation on the grounds which to them appear reasonable.
Member clubs, organisations and individuals shall pay annual affiliation fees of such amount as may be fixed by the Sports Council at their Annual General Meeting and such fees shall be payable by 30 June for the current financial year. (The membership year for the Sports Council for Glasgow shall run from 1st July to 30th June). Only affiliated members, having paid the appropriate annual fees, are entitled to voting rights and access to membership benefits.
The Executive Committee of the Sports Council may create a number of ‘Honorary Life Members’ [maximum of 10 at any time] in recognition of specific contribution to the running and organisation of the Sports Council. No affiliation fees will be payable by such individuals and these individuals shall have no voting rights at General Meetings.
4. MANAGEMENT
The Sports Council shall be managed by:
- an Executive Committee who shall have overall responsibility for the management of the Sports Council
- a Management Committee who shall have responsibility for the day to day running of the Sports Council
5. EXECUTIVE COMMITTEE
5.1 The Executive Committee shall comprise:
- the 4 office bearers – chairperson; 2 x vice-chairpersons; treasurer
- 1 representative of GlasgowLife (ex officio)
- minimum of 8 and a maximum of 14 representatives from member clubs, organisations and individual members affiliated to the Sports Council.
- the Sports Council for Glasgow Officer who shall have no voting rights
The office bearers shall be elected at an Annual General Meeting for a period of two years but are eligible for re-election.
5.2 Other Club representatives shall demit office annually at the AGM but are eligible for re-election.
5.3 The Executive Committee shall have the power to co-opt persons to:
- fill casual vacancies
- sit on specific ad-hoc committees as and when required
NB: Persons co-opted to ad-hoc / sub-committees may not necessarily be club representatives.
All members of ad-hoc / sub-committees shall have voting rights.
6. MANAGEMENT COMMITTEE
The Management Committee shall comprise the office bearers of the Sports Council being the Chairperson; 2 x vice-chairpersons; treasurer, along with two other elected members plus the Sports Council Officer who shall have no voting rights
7. SUB-COMMITTEES
Sub-committees shall be established by the Executive Committee as deemed necessary to carry out the objects of the Sports Council. Sub-committees shall comprise representatives from the Executive Committee, one of whom shall be appointed as the chairperson, plus other appropriate representatives (as stated in clause 5).
8. MEETINGS
8.1 ANNUAL GENERAL MEETINGS
The Annual General Meeting of the Sports Council shall be held in May of each year.
8.2 SPECIAL GENERAL MEETINGS
8.2.1 A Special General Meeting of the Sports Council shall be held if requested by the Executive Committee or by one tenth of affiliated members. Requests for a Special General Meeting must be submitted in writing to the Sports Council Officer stating the nature of the proposed business to be considered at the meeting.
8.2.2 Any Special General Meeting so requested shall be held as soon as is practicable but not later than 6 weeks after receipt by the Sports Council Officer of such a request.
8.3 EXECUTIVE COMMITTEE MEETINGS
The Executive Committee shall meet at least 4 times per year and additionally at other times as they may determine having regard to the business to be transacted.
8.4 MANAGEMENT COMMITTEE MEETINGS
The Management Committee shall meet when deemed necessary
8.5 SUB-COMMITTEE MEETINGS
Sub-Committees shall meet to transact the business for which they have been established as and when deemed necessary.
8.6 CALLING OF MEETINGS
Members of the Sports Council shall receive at least six weeks notice of the Annual General Meeting.
Members of the Executive, Management and Sub-Committees shall receive 14 days notification of meetings and the business to be transacted.
8.7 CHAIRING OF MEETINGS
The chairperson of the Sports Council, whom failing, one of the vice-chairpersons, shall preside at all meetings of the Executive and Management Committees. In the absence of the chairperson and vice-chairpersons, those present shall select a chair.
Sub-committee meetings shall be chaired by the person appointed for the purpose.
8.8 VOTING AT MEETINGS
Voting at all meetings shall be on the basis of one vote per member present. The chairperson shall have a casting vote as well as a deliberative vote. Voting shall be by a show of hands or roll call, as determined by a majority of those present at the meeting.
8.9 QUORUMS
The quorum for an Annual General Meeting shall be not less than 10% of the total number of affiliated clubs, organisations and individuals at the commencement of the meeting.
The quorum for Executive Committee meetings shall be one third + 1 of total membership of the committee.
9. MOTIONS
9.1 Motions to change the constitution and membership fees must be received by the Sports Council Officer at least four weeks prior to the Annual General Meeting.
9.2 Notice of the motions and all other relevant papers shall be sent to all members not less than 3 weeks prior to the Annual General Meeting or Special General Meeting
The constitution can only be amended by Resolution carried by a majority of two-thirds of those present and voting at an Annual General Meeting or Special General Meeting of the Sports Council.
Motions to change the membership fees shall be carried by a straight majority.
10. FINANCE
10.1 The Sports Council’s financial year shall run from 1 April to 31 March in each year.
The Sports Council may receive grants from Glasgow City Council or
other bodies for general or specific purposes.
10.2 The Sports Council may seek additional finance from other appropriate agencies, or by fund-raising schemes, to further support their development work.
10.3 Monies received on behalf of the Sports Council shall be paid into a bank account in the name of ‘Sports Council for Glasgow’ at a bank approved by the Executive Committee.
10.4 All cheques drawn against the Sports Council’s account shall bear the signatures of two persons and in accordance with the Bank Mandate.
10.5 Proper records of accounts shall be kept by the treasurer who shall be responsible for advising the Sports Council on all financial matters relating to the Sports Council’s activities.
10.6 The treasurer shall produce regular financial statements for presentation to the Executive Committee.
10.7 The Executive Committee or Management Committee may authorise expenditure out of the Sports Council’s funds for the furtherance of the objects of the Sports Council.
10.8 A statement of accounts, subject to inspection, for the financial year to 31 March preceding shall be presented to the Sports Council at each Annual General Meeting. Such inspection shall be carried out by an independent, appropriately qualified, person not connected with the production of the accounts, the receiving of monies, or issuing of cheques by the Sports Council.
11. WINDING UP
The Sports Council may be wound up by Resolution carried by a majority of two-thirds of those present and voting at a Special Meeting of the aforementioned Sports Council called for that purpose.
In the event of the Sports Council being wound up discussion shall take place with Glasgow City Council as to the most appropriate disbursement of any remaining funds.
